A company founded by 3 entrepreneurs which holds 300,000 400,000 and 300,000 stocks.
The company got the following term-sheet(the attached file).
questions:
1) complete the missing on the term-sheet and build cap-table to the company based on the investment conditions.
2)how should the cap-table look like if the next raising will be by stock value of 50$ and the company will raise 10 million when the investors I1 and I2 keep their part in the company.
3)how should the cap-table look like if the next raising will be by stock value of 5$ and the company will raise 2 million when the investors I1 and I2 keep their part in the company.
4)how should the cap-table look like if the next raising will be by stock value of 15$,
the company will raise 8 million from investor I3, investor I1 will invest his part in the company and investor I2 decide to not participate in the investment.
5) The two investors decided to fire the CEO, could they do that?
6) The company intrested to loan 2 million dollars' the investors dont want that, is that possible to loan the money or not ?
7) The first entrepreneur which is the CEO also, believe that the company need to focus her selling efforts in the american market, the other enterpreneurs which are the vice presidents believe that the company should focus on china. also the investors believe in china, what could be done in that situation?
8)the company recruit selling vice president and gives him 50,000 options in the company, after year and a half the vice president leaves the company. how many options he will got
9)investor number 3 leaves the company after 24 months, how many stocks he will got.
10)the company get buying offer, enterpreneur 1 , enterpreneur 2 and investor I1 intrested in the offer to sell the company, while enterpreneur 3 and investor I2 dont want to sell the company, is it possible to accept the offer?
