Dedicated Mysql Server Setup

I need my new 2nd server setup to be a dedicated mysql database.
Phpmyadmin needs to be installed.
Mysql needs to be installed on the new server.
The databases on the original server need to be moved to the new server.
I'll need someone very experienced with this who has done this before because I do not want any down time. I will need someone as soon as possible.
