I need some help with writing a contract. Looking to get a share purchase agreement created for a uk limited company, the way we structured the deal is I'd become a director of the company first then take a loan out against the company on the day I become a director. Id have 60 days to raise the funds to buy out all the shareholders after they are paid, they transfer all shares of the company to me. The terms of the contract is the sellers will have to work for the company for 12 months after they sold thier shares for free after the 12 months they will be paid a salary. Me as the buyer will pay thier legal fees through the company, but the sellers are rensponsible for paying the brokers commission from the proceeds of the sale of the company.
