Cubecart copy to another server

I have a domain name with CubeCart installed.

I need: use same version and show on new server and new domain. Just want to move it on new server without customer and order information . All products must be moved.

Limitation: I will give you file structure, and I will give you the db (will need your instructions to move db, remove the order and customer details and deliver the db to you )
