Case Study must be completed by Tuesday 14/10/14 1200h AEST Questions below. You must read the Case Study Background and Case Study Tips as this will give you ALL the guidance you need to get this piece written FAST! All expectations are explained clearly here. Refer to rubrics as I need an 85-90% mark. Please use Harvard style referencing and use 4-5 of the additional files containing reports to refer to. Please do not use any other outside resources. Here are the case study questions: 1. Scandals in Australian sporting clubs (max 1200 words) [20 points] You have been called in to investigate the failings in corporate governance at an Australian sporting club. The Chairman of the Australian Football League (AFL) /National Rugby League (NRL) would like a report identifying the failures in corporate governance at EITHER the Essendon Football Club (AFL affiliated) OR the Cronulla Sharks Rugby League Club (NRL affiliated). In your report to the Chairman you need to discuss the role of and make recommendations on specific corporate governance mechanisms that may have prevented the specific events of 2011-2012 taking place in your selected club. In your response, you must also refer to the Australian Sports Commission Sports Governance Principles see [login to view URL] Your specific recommendations must be supported by examples of research from at least three academic research articles. 2. Scandals in listed companies (max 1200 words) [20 points] Choose from one of the listed Australian companies below that has recently been involved with some form of scandal. Describe the corporate governance failings that contributed to the “scandal” and compare those with the failings in corporate governance mechanisms associated with the sporting club chosen in Question 1. In your response you must describe the listed company’s short-comings in governance within the context of the Australian Securities Exchange Corporate Governance Principles and Recommendations ([login to view URL] compliance/[login to view URL]). Appropriate references should be cited where necessary to support your discussion.  Company Scandal (i)Commonwealth Bank of Australia Limited (ASX Code CBA) Scandal: Financial planning - fraud, forgery and a management cover-up (ii) BHP Billiton Limited (ASX Code BHP) Scandal: Corruption – inducements, hospitality and gifts to officials at 2008 Beijing Olympics 3. Corporate governance disclosures and the annual report (max 600 words) [10 points] Locate and access the latest annual / financial reports of your sporting club (from Question 1) and your chosen listed company (from Question 2). Compare and contrast the corporate governance disclosures and practices between the club and the listed company (e.g. board composition, directors’ meetings, audit committee, corporate governance committee). Next, identify relevant stakeholders in the club and the company and discuss the extent to which the information disclosed by the club and the company addresses the relevant needs of those stakeholders you identify.
