Convert video to swf

I need a pure .NET code (C# .NET 2.0 preferable but VB 2005 is also acceptable) that would convert a video files to flash movies (YouTube like). Means ones the user click upload it takes the .avi, .wmv, mpg etc. and does the conversion to flash movie with final result *.SWF file embeded in the SQL Server database. Also the produced swf file should have a Watermark on itsself. Please avoid offering solution from open-source or solution that includes some third party products. Only if you can make it with a pure .NET code.
