build an investment SPV in Delaware / Wyoming

We are a fintech startup financing tech companies with recurring revenues in Brazil and Mexico. We want to set-up an investment SPV in Delaware / Wyoming for some of our shareholders to invest cross-border into the local loans we originate in Brazil and Mexico. The services we are looking for are: - set-up the SPV (LLC); - write the bylaws; - write the investment instruments: 2 debt instruments, with a risk subordination (1 senior, 1 junior) linked to the performance of the portfolio assets.
